These Terms of Use ("Terms") constitute a legal agreement between you ("User," "you," or "your") and Equafusion ("Company," "we," "our," or "us") and govern your access to and use of our Website, services, and all content therein. By using our Website or engaging with any of our services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree to these Terms, you may not use or access the Website.

These Terms may be updated or modified from time to time. It is your responsibility to review them periodically. Continued use of the Website and services after changes constitutes your acceptance of the revised Terms.

1. Eligibility and User Verification

You must be at least 18 years of age or the age of legal majority in your country of residence to use this Website or access our services. By using this Website, you represent and warrant that you have the legal capacity to enter into a binding agreement, and that all information you submit is accurate and truthful. We reserve the right to verify the identity and eligibility of any user and to restrict access for any user who violates these Terms. Verification documents may be requested at any stage to validate user identity, business ownership, or legal capacity.

2. Services Offered

Equafusion provides a wide range of digital, creative, and technological services including, but not limited to, website development (custom builds, CMS, and e-commerce platforms), app development, branding, design, SEO, social media marketing, paid advertising, content development, automation, AI consulting, and influencer marketing.

We execute work internally or through collaborations with trusted freelancers, third-party agencies, or contractors. All such contributions are managed and quality-checked by Equafusion, with the client receiving consistent service regardless of execution partner.

Please note that some of our services depend on third-party platforms and providers (such as web hosting, domain registrars, email marketing tools, analytics services, payment gateways, or cloud infrastructure). Equafusion is not responsible for any downtime, data loss, price change, or disruption caused by such external providers. Clients agree that Equafusion is not liable for any errors, failures, or damages arising from or connected with such third-party services.

We reserve the right to change, modify, or terminate any service offering without prior notice.

3. Project Engagement, Process, and Deliverables
A formal proposal or scope of work (SOW) is shared before beginning a project. This document outlines deliverables, milestones, timelines, payment schedules, revision terms, and required inputs. Work commences only after the proposal is accepted and the initial payment is received.

Project timelines depend on the responsiveness and cooperation of the client. Delays in client feedback, approvals, or content submission may impact the overall delivery schedule. All major communications and approvals must be conducted through designated project platforms or email.

4. Payment Terms, Pricing, and Refunds
Payment terms are outlined clearly before project initiation. Usually, a 50% advance is required, and the balance is payable before the final handover. Prices exclude third-party services (e.g., hosting, plugins, domains) unless explicitly stated.

Refunds may be issued if:

  • The project has not commenced and the refund is requested within 7 days of payment.

  • Both parties mutually agree to terminate the project due to irreconcilable differences.

Partial refunds are calculated based on deliverables completed. Unauthorized chargebacks may lead to service suspension and legal recourse.

5. Confidentiality and Non-Disclosure
All information shared by either party is confidential. Equafusion agrees not to disclose or misuse client information, including proprietary data, business strategies, and branding materials. Similarly, clients may not disclose Equafusion's internal processes, documentation, or systems without written permission.

We offer NDAs upon request. Confidentiality obligations remain effective post-project.

6. Intellectual Property and Usage Rights
All work produced by Equafusion remains our intellectual property until full payment is made. After payment, clients receive a license to use, modify, and distribute deliverables for their intended use. This license does not extend to resale or redistribution.

We reserve the right to showcase completed projects in our portfolio unless prohibited by NDA. Any use of third-party assets, plugins, or content must be properly licensed by the client.

7. Third-Party Services and Liability
Our services may involve or rely upon third-party providers and platforms such as domain registrars, cloud storage providers, hosting companies, email delivery services, analytics platforms, and others. While we aim to partner with reputable providers, we do not control these external services.

We make no warranties and accept no liability for errors, interruptions, failures, or damages caused by the use or failure of third-party services. It is the client's responsibility to maintain compliance with their own provider’s terms and ensure that required licenses, subscriptions, and renewals are in place.

Equafusion shall not be held responsible for any loss or damage incurred as a result of the use of third-party systems or decisions made by such vendors.

8. User Conduct and Acceptable Use
You agree not to use the Website or services for any unlawful, unethical, or harmful activities. This includes but is not limited to hacking, fraud, spamming, distribution of malware, or unauthorized access to protected data.

Equafusion reserves the right to block access, suspend accounts, or take legal action for abusive or non-compliant behavior.

9. Privacy and Data Security
Client data is handled in accordance with our Privacy Policy. We implement modern security protocols and access controls to protect data. Clients are responsible for safeguarding their login credentials and must use secure channels to share sensitive data.

Equafusion is not liable for any breach resulting from client-side negligence.

10. Support and Maintenance
Standard support is available Monday to Friday, 10:00 AM to 5:00 PM IST, excluding Saturdays, Sundays, and public holidays. Clients can reach out via chat, WhatsApp, or email for support.

Emergency or off-hour requests may incur additional fees unless covered by a support contract or AMC.

11. Platform Access and Downtime
We strive for uninterrupted service delivery but cannot guarantee 100% uptime. Scheduled maintenance and unforeseen downtime may affect availability. Clients will be informed of major scheduled downtimes in advance.

We are not responsible for downtime due to third-party service disruptions.

12. Suspension or Termination
Accounts or services may be suspended or terminated if:

  • There is a breach of these Terms

  • Payment is overdue by more than 15 days

  • Unlawful or unethical conduct is identified

  • Repeated client inaction disrupts project timelines

In such cases, previously paid amounts may be non-refundable.

13. Legal Compliance and Dispute Resolution
Clients must comply with all applicable local, state, and international laws. In the event of disputes, both parties will attempt resolution through mutual discussion. If unresolved, legal jurisdiction shall be Kanpur, Uttar Pradesh, India under Indian laws.

We reserve the right to seek equitable remedies and file legal claims where necessary to protect our interests.

14. Modifications to Terms
These Terms may be amended without prior individual notice. The latest version will always be available on our Website. Users are encouraged to revisit this page regularly to remain informed.

Your continued usage after any such changes indicates your acceptance of the new Terms.

15. Disclaimers and Limitation of Liability
Services are provided on an "as-is" and "as-available" basis. Equafusion disclaims all warranties, express or implied, including those of merchantability or fitness for a particular purpose. In no event shall our liability exceed the total amount paid for the service in dispute.

We shall not be liable for indirect, incidental, or consequential damages.

16. Force Majeure
We are not liable for delays or failures caused by events beyond our control such as natural disasters, war, cyberattacks, labor strikes, pandemics, or acts of government.

17. Miscellaneous
These Terms constitute the entire agreement between the parties. If any provision is found unenforceable, the remaining sections will still apply. No waiver of any breach or provision shall be deemed a waiver of any other.
